贵州茅台酒股份有限公司(以下简称“公司”)秉持依法合规、诚信经营的理念,将廉洁从业、反商业贿赂和反腐败作为企业可持续发展的底线和重要保障。为维护公司品牌声誉、股东权益和市场秩序,营造风清气正的经营环境,依据国家法律法规及监管要求,制定本反贿赂反腐败政策。
Kweichow Moutai Co., Ltd. (hereinafter referred to as the "Company") adheres to the principles of legal compliance and integrity in business operations. The Company regards integrity, anti-commercial bribery, and anti-corruption as fundamental and critical safeguards for sustainable corporate development. To protect the Company's brand reputation, shareholders' rights, and market order, and to foster a transparent and ethical business environment, this Anti-Bribery and Anti-Corruption Policy (the "Policy") is formulated in accordance with applicable laws, regulations, and regulatory requirements.
一、适用范围
1. Scope of Application
本政策适用于公司及子公司的所有董事、高级管理人员和全体员工,并积极推动与公司开展业务合作的供应商、经销商以及其他商业合作伙伴参照执行。
This Policy applies to all directors, senior management, and employees of the Company and its subsidiaries. It also actively encourages suppliers, distributors, and other business partners engaging in cooperation with the Company to comply with and implement standards of conduct.
二、指导监督机构
2. Governing and Supervisory Bodies
反贿赂反腐败事宜由公司董事会风险与合规管理委员会负责统筹、指导与监督,依托“五位一体”联动监督模式,构建完善的监督管理体系。
Anti-bribery and anti-corruption matters are coordinated, guided, and supervised by the Risk and Compliance Management Committee of the Board. A comprehensive supervisory system is established based on a five-sphere integrated supervision mechanism.

(一)治理原则与制度规范
(a) Governance Principles and Regulatory Frameworks
公司严格按照《中华人民共和国公司法》《中华人民共和国反不正当竞争法》《中华人民共和国反垄断法》等法律法规及相关规范性文件,结合供应链管理、业务合作等实际,建立健全反商业贿赂全链条防控体系,规范商业往来行为。
The Company strictly complies with the Company Law of the People's Republic of China, the Anti-Unfair Competition Law, the Anti-Monopoly Law, and other applicable laws, regulations, and normative documents.In conjunction with supply chain management and business cooperation practices, the Company has established a comprehensive end-to-end anti-commercial bribery control system to standardize business interactions.
(二)相关方责任义务
(b) Responsibilities and Obligations of Relevant Parties
公司对商业贿赂与腐败行为持“零容忍”态度,将反腐反贿赂与合规管理纳入供应商ESG考核范围,要求供应商等合作伙伴制定反贿赂反腐败制度,构建“材料收集-审核评分-结果应用”的核查流程,对供应商提供的相关材料进行审验,以验证政策的有效性。
The Company maintains a zero-tolerance stance toward commercial bribery and corruption. Anti-corruption and anti-bribery measures are integrated into the ESG assessment and full-process management of suppliers. Business partners and suppliers are required to establish anti-bribery and anti-corruption systems and implement a verification process of “material collection – review and assessment – result application” to validate the effectiveness and enforcement of suppliers anti-corruption policies.

公司构建“五位一体”内部监督与第三方审计深度融合、协同发力的全方位监督体系,对关键领域进行监督、风险防控。每年对业务单元实施外部审计和内部审查,外部审计由第三方机构依据ISO37001标准执行,强化对业务领域及关键风险环节的防控。
The Company has established a five-sphere integrated internal supervision system that is deeply integrated with third-party audit oversight, forming a comprehensive supervisory framework to monitor and control key areas. Regular internal reviews and external audits are conducted annually on business units, with external audits performed by third-party institutions in accordance with ISO 37001 standards to reinforce control over business areas and critical risk points.

公司设立举报电话、举报信箱及官方举报网站等举报渠道,鼓励员工、用户等相关方对违规违纪违法行为进行监督和举报,严格保密举报内容,落实举报人保护制度。
The Company has established reporting channels, including hotlines, mailboxes, and official reporting websites, to encourage employees, customers, and other relevant parties to monitor and report violations of laws, regulations, or internal rules. The Company strictly maintains the confidentiality of whistleblower reports and implements a whistleblower protection system.

公司定期面向董事会、高级管理人员、员工、供应商等相关方开展商业道德与廉洁文化培训,覆盖全体员工,强化全员合规意识。将商业道德培训延伸至包含原料供给、劳务外包、工程承接等类别的所有供应商及合作伙伴,以“线下为主,线上为辅”开展专项培训,持续筑牢全链条廉洁防线。
The Company regularly conducts business ethics and integrity culture training for the Board of Directors, senior management, employees, suppliers, and other relevant parties, covering all staff to reinforce compliance awareness. Business ethics training is extended to all suppliers and partners, including raw material supply, outsourced services, and project contracting, primarily through in-person sessions with supplementary online courses, focusing on legal requirements and commercial bribery risk points to strengthen the integrity defense across the entire supply chain.

公司依据法律法规、监管要求及经营发展实际,定期对本政策进行评估与更新,持续优化体制机制,确保政策的合规性、适用性与有效性。
The Company regularly reviews and updates this Policy based on changes in laws and regulations, adjustments in regulatory requirements, and business developments, while simultaneously optimizing the control system and supervision mechanisms to ensure the Policy's applicability, compliance, and effectiveness.
